Terms of Service

1. Eligibility

You must be at least 18 years of age or the legal age of majority in your jurisdiction to use the Service. By creating an account, you represent and warrant that you meet this requirement and that all information you provide is accurate, current, and complete.

2. Account Registration

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@happyhorseeai.com of any unauthorized use of your account.

3. Description of Service

Happy Horse AI provides an AI-powered video generation platform that enables users to create videos from text prompts and reference images using advanced machine learning models including HappyHorse 1.0, Veo 3.1, Seedance 1.5, and Seedance 2.0. The Service operates on a credit-based system where users purchase subscription plans or credit packages to generate content.

4. Subscriptions and Payments

Paid features of the Service are offered through subscription plans (Weekly, Monthly, or Yearly) and, when available, individual credit packages. All fees are stated in United States Dollars (USD) and are exclusive of applicable taxes unless stated otherwise.

Subscription plans automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you will retain access to your plan benefits until then.

We reserve the right to modify pricing at any time. Any price changes will be communicated with at least 30 days' notice before taking effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Credits and Usage

Credits are a virtual unit of measure used to access AI video generation features. Different models and settings consume different amounts of credits. Credit allocations are determined by your active subscription plan.

Unused credits from subscription plans do not roll over between billing periods unless explicitly stated. Credits have no monetary value and cannot be exchanged, transferred, or refunded for cash.

6. User Content and Intellectual Property

You retain ownership of any original content (text prompts, reference images) you submit to the Service ("Input Content"). You are granted a non-exclusive, worldwide license to use, download, and distribute the AI-generated output ("Generated Content") created through your use of the Service, subject to these Terms.

You represent and warrant that your Input Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of third parties. You shall not use the Service to generate content that is illegal, harmful, defamatory, obscene, or otherwise objectionable.

We do not claim ownership of your Generated Content. However, you acknowledge that similar or identical content may be independently generated by other users of the Service.

7. Prohibited Uses

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include, but are not limited to:

• Generating content depicting real individuals without their explicit consent
• Creating deepfakes or deceptive media intended to mislead
• Generating child sexual abuse material (CSAM) or any content sexualizing minors
• Producing content that promotes violence, terrorism, or hate speech
• Reverse engineering, decompiling, or attempting to extract the source code or models behind the Service
• Using automated bots, scrapers, or other tools to access the Service without authorization
• Reselling, sublicensing, or redistributing the Service without express written consent
• Circumventing usage limits, credit systems, or security measures

8. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. We are not liable for any loss of data or content upon account termination.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. AI-generated content may contain inaccuracies, artifacts, or biases inherent to the underlying models.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAPPY HORSE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the greater of one hundred dollars ($100 USD) or the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Happy Horse AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
